Terms of Service

Effective Date: July 29, 2026

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS. BY ACCESSING THE SERVICE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU AGREE TO THESE TERMS.

1. Agreement and Scope

These Terms of Service ("Terms") govern your access to and use of the Seat Side website, web application, mobile experience, ordering tools, communications, and in-venue merchandise delivery services (collectively, the "Service"). "Seat Side," "we," "us," and "our" refer to Seat Side and its authorized operators. "You" and "your" refer to the person accessing or using the Service.

By selecting a checkbox or button indicating acceptance, creating an account, accessing the Service, or submitting an order, you consent to transact electronically and agree to be bound by these Terms and the Privacy Notice presented through the Service. If you do not agree, do not use the Service.

Venue rules, artist or tour merchandise policies, seller terms, ticketing terms, and event-specific requirements may also apply. If an event-specific disclosure conflicts with these Terms, the event-specific disclosure controls for that transaction.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service independently. A minor may use the Service only with the involvement and consent of a parent or legal guardian, who accepts responsibility for the minor's use and purchases.

You must provide accurate, current, and complete account, payment, contact, and delivery information. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify Seat Side promptly of suspected unauthorized use.

3. The Seat Side Service

Seat Side provides a fan-facing event-commerce and delivery platform that enables eligible guests to order event merchandise and request delivery to an approved seating location. Seat Side adds a sales and delivery channel; it does not replace the venue's or merchandise seller's physical retail operation.

Depending on the event, merchandise may be offered by a venue, artist, tour, promoter, team, merchandise concessionaire, or other third-party seller (each, a "Merchandise Seller"). Seat Side may act as the technology provider, ordering agent, payment facilitator, delivery provider, or a combination of these roles. The identity of the seller of record and any event-specific conditions may be shown at checkout.

Service availability varies by event, venue, seating area, inventory, connectivity, staffing, security requirements, and artist or venue approval. We may limit order windows, delivery zones, quantities, products, or service availability at any time.

4. Orders, Pricing, and Payment

Product availability and prices may change without notice until an order is accepted. Placing an order is an offer to purchase. An order is accepted when you receive an order confirmation, subject to inventory, payment authorization, fraud review, venue approval, and fulfillment capacity.

Before you submit an order, the Service will display the merchandise price, applicable delivery or service fee, taxes, any optional gratuity, and the total charge. By submitting the order, you authorize Seat Side and its payment processor to charge your selected payment method for that total and any adjustments you separately approve.

We may reject or cancel an order because of inventory errors, duplicate orders, suspected fraud, pricing errors, safety concerns, venue or artist restrictions, service interruption, or inability to fulfill. If we cancel after payment and no substitute or pickup option is accepted, the applicable amount will be refunded to the original payment method.

5. Your Delivery Information and Responsibilities

You are solely responsible for entering and verifying complete and accurate delivery information before submitting an order. This includes, as applicable:

  • the correct event and venue;
  • section, level, suite, club, general-admission zone, or other seating area;
  • row and seat number;
  • aisle, side, entrance, accessibility location, or other routing details requested by the Service;
  • a working mobile telephone number and any requested contact method; and
  • any authorized seat change, relocation, upgrade, or accessibility accommodation affecting delivery.

You must remain at or promptly return to the delivery location, keep your phone available, monitor order notifications, and respond to reasonable delivery communications. You must not direct a runner into a restricted area, backstage area, unsafe location, or any location prohibited by venue staff.

6. Incorrect, Incomplete, or Changed Seat Information

IF YOU PROVIDE AN INCORRECT OR INCOMPLETE SECTION, ROW, SEAT, AISLE, PHONE NUMBER, OR OTHER DELIVERY DETAIL, move, exchange seats, enter a restricted area, fail to remain available, or fail to respond—Seat Side may be unable to complete delivery. Seat Side is not responsible for a missed, delayed, misdirected, or failed delivery caused by those circumstances.

When reasonably practicable, Seat Side may attempt to contact you, locate you, redirect the order, or make the merchandise available at a designated pickup location. These efforts are not guaranteed. A delivery attempt made using the information you supplied may be treated as completion of Seat Side's delivery obligation.

Unless otherwise required by law or stated at checkout, the delivery or service fee is nonrefundable when delivery is prevented by incorrect, incomplete, or outdated information; your unavailability or failure to respond; an unauthorized seat change; denial of access caused by your conduct; or another circumstance within your reasonable control. You remain responsible for retrieving the merchandise from any pickup location made available before the event or pickup window closes.

If you notice an error or change, use the available in-app correction or support function immediately. Submitting a correction does not guarantee that the order can be rerouted after fulfillment has begun.

7. Delivery Timing, Verification, and Handoff

All delivery times are estimates, not guarantees. Delivery may be affected by crowd conditions, event timing, security holds, restricted aisles, cellular or Wi-Fi congestion, venue instructions, staffing, weather, emergencies, product preparation, or artist requirements.

Seat Side may use an order code, name, seat information, device message, photograph of the completed handoff or delivery location, timestamp, runner confirmation, or similar record to verify delivery. You authorize reasonable use of these methods as described in the Privacy Notice, subject to venue rules and applicable law.

Title to and risk of loss for merchandise pass as determined by the Merchandise Seller's terms and applicable law. For delivery purposes, an order may be considered delivered when it is handed to you or a person at the confirmed seat who presents the required verification, or when another delivery method expressly authorized by you is completed.

8. Merchandise, Substitutions, Returns, and Refunds

The Merchandise Seller—not Seat Side—is generally responsible for product descriptions, authenticity, quality, sizing, warranties, inventory, and return eligibility, unless Seat Side is expressly identified as the seller of record.

Inspect your order promptly. Report missing, incorrect, visibly damaged, or defective merchandise through the Service or designated event support as soon as possible and, when feasible, before leaving the venue. Available remedies may include correction, replacement, pickup, seller-authorized return, or refund. Artist, tour, venue, and event merchandise may be final sale or subject to limited return windows.

Unless otherwise displayed at checkout, Seat Side will refund the delivery or service fee if Seat Side cancels the delivery and neither completes a reasonable delivery attempt nor provides an available pickup alternative, except when nonperformance results from your conduct, incorrect information, venue or artist restrictions, an emergency, or an event outside Seat Side's reasonable control. Merchandise refunds remain subject to the seller's policy and applicable law.

Do not initiate an improper chargeback for an authorized and fulfilled order. Contact support first so the transaction can be investigated. This does not limit any rights you have under applicable payment-card or consumer-protection law.

9. Communications

You consent to receive transactional emails, in-app messages, push notifications, or text messages relating to your account, order, payment, delivery, event, safety, or support request. Message and data rates may apply. Marketing communications, if offered, will be handled according to the consent and opt-out choices presented to you.

10. Acceptable Use

You may not:

  • use the Service for fraud, resale schemes, unauthorized commercial activity, or unlawful purposes;
  • submit false seating, identity, payment, or contact information;
  • harass, threaten, obstruct, or endanger runners, venue staff, sellers, performers, or other guests;
  • attempt to bypass venue security, delivery zones, purchase limits, access controls, or technical protections;
  • scrape, reverse engineer, interfere with, overload, or introduce malicious code into the Service;
  • use another person's account or payment method without authorization; or
  • violate venue rules, event terms, applicable law, or the rights of others.

We may suspend or terminate access, cancel orders, withhold delivery, or refer conduct to the venue or authorities when reasonably necessary to protect users, staff, partners, the Service, or the public.

11. Privacy and Data Analytics

Our collection, use, retention, and disclosure of personal information are described in the Privacy Notice presented through the Service. Seat Side may create and share aggregated or de-identified analytics with Merchandise Sellers, promoters, teams, and service partners, such as order volume, popular products, average order value, delivery performance, peak ordering periods, and adoption patterns. We will handle information in accordance with the Privacy Notice and applicable law.

Do not include sensitive personal information in delivery notes. Only provide routing and accessibility information reasonably necessary to complete delivery.

12. Third-Party Services and Venue Operations

The Service may rely on payment processors, communications providers, mapping or routing tools, venue systems, Merchandise Sellers, staffing providers, and other third parties. Seat Side does not control third-party systems, inventory, policies, networks, or venue operations and is not responsible for their independent acts or omissions, except to the extent required by law.

Venues and event personnel retain authority over security, access, seating, crowd movement, emergency procedures, and whether delivery may continue. Seat Side and its runners must follow those instructions.

13. Intellectual Property

The Service, including its software, design, text, graphics, logos, trademarks, workflows, and content, is owned by or licensed to Seat Side and protected by applicable intellectual-property laws. Subject to these Terms, Seat Side grants you a limited, personal, nonexclusive, nontransferable, revocable license to use the Service for its intended purpose.

Artist, venue, team, promoter, and product names, images, and marks belong to their respective owners. Their appearance does not transfer ownership to Seat Side or to you.

14. Service Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SEAT SIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT EVERY EVENT OR SEAT, OR THAT DELIVERY ESTIMATES, INVENTORY, PRODUCT INFORMATION, OR THIRD-PARTY CONTENT WILL ALWAYS BE ACCURATE.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded or limited.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEAT SIDE AND ITS OWNERS, AFFILIATES, PERSONNEL, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, OR GOODWILL; LOSS OF ENJOYMENT OF AN EVENT; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEAT SIDE'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR AN ORDER WILL NOT EXCEED THE GREATER OF (A) THE DELIVERY AND SERVICE FEES YOU PAID TO SEAT SIDE FOR THE ORDER GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations do not apply to liability that cannot be limited under applicable law, and they do not limit your rights against a Merchandise Seller for merchandise obligations for which that seller is legally responsible.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Seat Side and its affiliates, personnel, contractors, and partners from third-party claims, damages, losses, liabilities, and reasonable costs arising from your fraud, unlawful conduct, material breach of these Terms, infringement of another person's rights, or intentional misuse of the Service. This section does not require you to indemnify Seat Side for Seat Side's own negligence or unlawful conduct.

17. Events Beyond Reasonable Control

Seat Side is not responsible for delay or failure caused by events beyond its reasonable control, including severe weather, evacuation, medical or security emergency, crowd-control order, artist or venue directive, event interruption or cancellation, labor shortage, transportation disruption, power failure, telecommunications or internet outage, cyberattack, governmental action, civil disturbance, or similar event. Seat Side may suspend delivery and follow venue emergency instructions.

18. Suspension, Termination, and Changes

You may stop using the Service at any time. Seat Side may suspend or terminate access, cancel an order, or discontinue all or part of the Service when reasonably necessary for safety, security, legal compliance, partner requirements, suspected fraud, or material violation of these Terms.

We may update these Terms. The revised version will state a new effective date and will be presented or posted through the Service. Material changes will apply prospectively after reasonable notice, except when immediate changes are necessary for legal, security, or safety reasons. Continued use after the effective date constitutes acceptance where permitted by law.

19. Governing Law

These Terms are governed by the laws of Florida, without regard to conflict-of-law principles, except where federal law or another jurisdiction's nonwaivable consumer law applies. Before filing a formal claim, you and Seat Side agree to make a good-faith effort for at least 30 days to resolve the dispute through the customer-support contact provided in the Service.

Unless applicable law requires otherwise, any court proceeding must be brought in a state or federal court serving the county in Florida where Seat Side's principal place of business is then located, and each party consents to personal jurisdiction there. Either party may pursue an eligible claim in small-claims court.

20. General Terms

These Terms, the Privacy Notice, checkout disclosures, and applicable event-specific terms form the entire agreement regarding your use of the Service. If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Seat Side's failure to enforce a provision is not a waiver. You may not assign these Terms without Seat Side's written consent. Seat Side may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Service. Headings are for convenience only.

21. Contact

Questions, delivery concerns, refund requests, and legal notices should be submitted using the support contact or in-app help method displayed in the Service. Include your order number, event, venue, and a concise description of the issue. Do not send payment-card information or other highly sensitive information through ordinary email or delivery notes.

Checkout Acknowledgment Recommended for Implementation

Display this acknowledgment next to an unchecked checkbox or immediately above the final order button:

"I have verified my event, section, row, seat, aisle/access details, and mobile number. I understand that incorrect or changed delivery information, leaving my seat, or failing to respond may prevent delivery and may make the delivery fee nonrefundable. I agree to the Terms of Service and Privacy Notice."

Implementation note: Keep the Terms and Privacy Notice links visible at checkout, record the accepted version and timestamp, and display the total price and material refund limitations before the order is submitted.
